Parties and scope

Important notice. NotusShip is a B2B (business-to-business) project and issue management tool built for software development teams and organisations. The service is provided for commercial and professional purposes.

These Terms of Service (the “Terms”) govern the licence and service relationship between Notussoft Bilgi Teknolojileri Limited Şirketi (“Notussoft”), established in Bursa / Türkiye, and the corporate or individual customers and users (“Customer” or “User”) of the NotusShip software, its cloud-based services, web interfaces and related services.

By installing the software, running it on a server, creating an account on the hosted platform or using the free tier, these Terms are accepted electronically and a binding agreement is concluded between the parties.

What the service is, and its scope limits

Scope of the service. NotusShip is a lean project and issue management tool built for software development teams. The system covers projects, issues, boards (Kanban/Scrum), sprint and backlog management, time tracking, a wiki, full-text search, and email and in-product notifications.

Deliberately out of scope. To keep NotusShip focused and fast, the following are deliberately excluded as a product architecture choice and are not supported:

Licence types, intellectual property and rights of use

Intellectual and industrial property rights. All intellectual and industrial property rights in the NotusShip software, its source code, interface designs, database architecture, trade marks and documentation belong exclusively to Notussoft Bilgi Teknolojileri Ltd. Şti.

Disclaimer of warranty and limitation of liability

General disclaimer. The NotusShip software is provided as is. Notussoft does not warrant that the software will run error-free or that it will fully fit the Customer’s particular purpose, and gives no implied warranty.

Shared responsibility and data security.

Monetary cap on liability. Notussoft’s total financial liability arising from these Terms (limited to cases of slight fault) shall not exceed the licence fee actually paid by the Customer to Notussoft in the twelve (12) months preceding the event giving rise to the loss. No monetary liability arises for installations used on the free tier.

Excluded losses. Indirect and consequential loss, loss of profit, business interruption, reputational harm and third-party claims are out of scope.

Reserved cases. These limitations do not affect Notussoft’s liability arising from wilful misconduct or gross negligence, nor mandatory statutory provisions (including rights arising from consumer legislation).

Account security and user responsibilities

Authentication and password standard. Users are responsible for keeping their account passwords confidential. Passwords must be at least 10 characters long; the system relies on length rather than a complexity rule.

Brute-force protection. After ten (10) consecutive failed sign-in attempts the system automatically locks the account for fifteen (15) minutes.

Lawful use of the platform and its content. Publishing content that is unlawful, infringes copyright, carries malware or harms the personal rights of third parties is strictly prohibited. Legal, criminal and administrative responsibility for any content entered into free-text fields, issue descriptions and wiki pages in NotusShip rests solely with the person who entered it and with the Customer organisation they belong to.

Leaving, anonymisation and project integrity

Removal from the organisation. An organisation administrator (Owner / Admin) may remove a departing user from the organisation at any time.

Anonymisation of personal data. On request, the personal data of a user removed from the organisation is anonymised in the system.

Project integrity and the audit trail. To keep project integrity, sprint history and audit trails intact, the issues, comments, status changes and time entries the user created in the past are not deleted; they are kept under the label “Deleted user”.

Order of operations. Because an active team member’s name must appear on the board and in assignments, anonymisation can — by technical design — only be applied to users who have been removed from the organisation.

Data ownership, portability and personal data (KVKK)

Data ownership. The Customer’s data belongs to the Customer. In a self-hosted installation the entire database can be taken with a single command. Users can download their own personal data from the interface in JSON format.

Exporting an organisation’s data from a hosted installation. On a request sent by the organisation’s Owner to destek@notussoft.com, a complete PostgreSQL dump of the database is delivered free of charge within 5 business days. The dump can be restored directly into a self-hosted NotusShip installation.

Retention and destruction. Data in the hosted system is deleted one (1) year after the agreement ends; data whose export is not requested within that period cannot be recovered.

Personal data and the Data Processing Agreement. In the hosted edition Notussoft is a data processor under Turkish Law No. 6698 (KVKK). The detailed technical and organisational terms for processing personal data are governed by the Data Processing Agreement (DPA), which forms an integral annex to these Terms.

Fees, payment and read-only mode

Free tier. An installation with no licence key runs indefinitely with at most three (3) users; there is no time limit, trial period or feature restriction.

Charging and band changes. The hosted edition is licensed per seat, monthly or annually; the self-hosted edition for a fixed annual fee determined by a user-count band. If a team crosses a band during the year the difference is not invoiced mid-term; it applies at the next renewal. Unless stated otherwise, amounts include Turkish VAT. The price list is not public; it is stated in the offer and the agreement.

Uninterrupted access to data (read-only mode). If payment is not made or the licence expires, the system grants a 14-day grace period and then switches to read-only mode. Reading, signing in and taking backups stay available in every case; access to data is never cut off over payment.

Price changes. Price increases do not affect the current licence term. Changes are announced by email at least 30 days before renewal.

Service level and support

Monitoring and SLA. The state of an installation can be followed from three health endpoints. No uptime percentage is committed, and that is a deliberate choice.

Support and response times. Support is provided at destek@notussoft.com, on weekdays between 09:00 and 18:00 (Turkey time). The targeted first response is 2 hours for critical faults and 1 business day for everything else. These times are not commitments; Notussoft may, at its own discretion, compensate by extending the licence period. Planned maintenance is announced at least 1 day in advance.

Notice period, jurisdiction and entry into force

Notice and time bar. The Customer must notify Notussoft in writing of any claim arising from these Terms within 6 months of learning of the event giving rise to the loss, and in any case within 1 year.

Governing law and jurisdiction. The laws of the Republic of Türkiye apply. The courts and enforcement offices of Bursa have jurisdiction over disputes. For international disputes Notussoft reserves the right to refer the matter to ISTAC arbitration.

Language and changes. The English version is for information only; in case of a discrepancy the Turkish text prevails. Changes to these Terms are announced by email at least 30 days before they take effect. Effective date: 1 September 2026.
